CORPORATE GOVERNANCE
WAR Grass Digger Sdn. Bhd. (“WARGD”) adopts a structured Board of Directors (“BOD”) framework to provide effective corporate governance, strategic leadership and oversight of the Company’s business activities.
The Board is responsible for determining the Company’s strategic direction, overseeing financial and investment matters, monitoring business performance, managing corporate risks and ensuring that the Company conducts its affairs in compliance with applicable Malaysian laws, regulations and corporate governance requirements.
Board of Directors Line Up
The Board of Directors shall comprise suitably qualified and experienced individuals with complementary expertise relevant to the Company’s business objectives, particularly in the areas of agriculture, land development, project management, finance, investment, business development and corporate affairs.
The registration and appointment of the Directors shall establish clear authority, responsibility and accountability for the management and implementation of WARGD’s business plans and future development projects.
CORPORATE AND FINANCIAL CAPACITY
WARGD intends to establish and maintain an appropriate corporate and financial structure to support the implementation of its proposed business activities and development projects.
Where required, the Company may strengthen its paid-up capital, working capital and investment structure in accordance with the Company’s approved business plans and applicable corporate requirements.
The Company’s financial capacity shall be supported by appropriate corporate records, banking documentation, capitalisation records and other relevant supporting documents where required by government agencies, financial institutions, investors or strategic partners.
GOVERNMENT AND STAKEHOLDER CONFIDENCE
The establishment of a clearly defined Board of Directors demonstrates WARGD’s commitment towards professional corporate governance, accountability and responsible project management.
The Board will serve as the principal decision-making and oversight body of the Company and will provide the necessary leadership to develop WARGD into a capable and sustainable agricultural and land-development enterprise.
WARGD is committed to working closely with relevant Federal and State Government agencies, landowners, financial institutions, investors, strategic partners and other stakeholders in developing commercially viable and sustainable agricultural projects.
